XBYZ LLC ("XbyZ", "we", "us", or "our") is a business consulting company registered in the State of California, providing services including business formation, licensing assistance, web design, and merchant/financial services. Our principal place of business is:

XBYZ LLC provides professional consulting and business support services, including but not limited to:

• Business formation, registration, and licensing assistance
• Custom web design and development
• Merchant account setup and financial services guidance
• Business strategy and consulting

All services are provided on an engagement basis as agreed upon between XBYZ LLC and the client prior to commencement. XBYZ LLC reserves the right to modify, suspend, or discontinue any service at any time with reasonable notice.

By engaging XBYZ LLC's services, you agree to:

• Provide accurate, complete, and truthful information required to perform the services
• Notify us promptly of any changes to your business information or requirements
• Cooperate with our team and respond to requests in a timely manner
• Use our services only for lawful business purposes
• Not use our services to engage in any fraudulent, deceptive, or illegal activity
• Pay all agreed-upon fees on time and in full

Failure to fulfill these responsibilities may result in delays, additional charges, or termination of services without refund.

Payment for services is due as agreed upon at the time of engagement. Unless otherwise specified in writing:

• Full payment or an agreed deposit is required before work commences
• All fees are stated in US Dollars (USD)
• Accepted payment methods include major credit/debit cards and bank transfers
• Late payments may result in a pause or suspension of services
• Government filing fees, third-party costs, and out-of-pocket expenses are billed separately and are non-refundable

Upon full payment for web design or creative services, the client receives full ownership of the final delivered work product. XBYZ LLC retains the right to:

• Display completed work in our portfolio unless the client requests otherwise in writing
• Retain ownership of any proprietary tools, frameworks, or processes used in delivering services
• Use general methodologies and knowledge gained during the engagement for future client work

All content, materials, and intellectual property on the XBYZ LLC website (xbyzeth.com) — including logos, text, graphics, and code — remain the exclusive property of XBYZ LLC and may not be reproduced without written permission.

XBYZ LLC treats all client information as strictly confidential. We will not share, sell, or disclose your personal or business information to third parties, except:

• Where required to perform the agreed services (e.g., filing with state agencies on your behalf)
• Where required by applicable law, regulation, or court order
• With your explicit written consent

Clients are also expected to keep confidential any proprietary methods, pricing, or internal information shared by XBYZ LLC during the engagement.

XBYZ LLC provides consulting and facilitation services. We are not a law firm, accounting firm, or licensed financial advisor. Our services do not constitute legal, tax, or financial advice.

To the maximum extent permitted by law, XBYZ LLC's total liability to any client for any claim arising from our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

XBYZ LLC is not liable for:

• Delays caused by government agencies, third parties, or circumstances beyond our control
• Business outcomes, revenue, or success resulting from our services
• Errors in information provided by the client that affect service delivery
• Indirect, incidental, or consequential damages of any kind

These Terms and Conditions are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these terms or our services shall be resolved in the appropriate courts of Los Angeles County, California.

Both parties agree to attempt to resolve any dispute informally before pursuing formal legal action. You may contact us directly at info@xbyzeth.com to initiate a resolution.

XBYZ LLC reserves the right to update or modify these Terms and Conditions at any time. Changes will be posted on this page with an updated effective date. Continued use of our services after changes are posted constitutes your acceptance of the revised terms.

We encourage you to review this page periodically. For significant changes, we will make reasonable efforts to notify existing clients directly.

XBYZ LLC reserves the right to deactivate or suspend any client account at any time, with or without prior notice, under the following circumstances:

• Fraudulent Information: Providing false, misleading, or inaccurate information during registration or service engagement
• Non-Payment: Failure to pay agreed-upon fees within the specified timeframe
• Abusive Conduct: Engaging in threatening, harassing, or abusive behavior toward XBYZ LLC staff
• Illegal Activity: Using our services to facilitate any illegal, fraudulent, or unauthorized activity
• Breach of Terms: Violating any provision of these Terms and Conditions
• Chargebacks: Filing unauthorized chargebacks or payment disputes without first contacting XBYZ LLC
• Misuse of Portal: Uploading harmful, offensive, or illegal content to the client portal

Upon deactivation:

• Access to the client portal will be immediately revoked
• Any ongoing services may be paused or terminated at our discretion
• Fees paid for completed work are non-refundable
• You will be notified via the portal messaging system and/or email

To appeal a deactivation, contact us at [email protected] within 14 days. XBYZ LLC will review all appeals in good faith and respond within 5 business days.
